Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vistwerk, an AI field-documentation platform for German fiber-optic and civil-engineering (Tiefbau) contractors, available at https://vistwerk.com and operated by Peakure (sole operator: Mert Can Vural). By creating an account or using the service, you agree to these Terms. This document is a template provided for general orientation and must be reviewed and adapted by qualified legal counsel before it is published or relied upon.

1. Acceptance of These Terms

By registering for, accessing, or using Vistwerk, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy.

If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that entity, and "you" then refers to that entity.

If you do not agree with these Terms, you must not use the service.

2. Description of the Service

Vistwerk receives field updates from construction crews — including voice recordings, photographs, and text sent via WhatsApp — and uses automated processing and AI to transcribe, structure, and assemble them into documentation that contractors can use for their field operations.

The service is provided on an ongoing, evolving basis. We may add, modify, or remove features over time to improve the platform, and we will use reasonable efforts to avoid degrading core functionality you rely on.

Vistwerk is a documentation aid. It does not replace the professional judgement, compliance obligations, or record-keeping responsibilities of the contractor, and outputs should be reviewed before being relied upon for official or regulatory purposes.

3. Accounts and Registration

To use most features you must create an account and provide accurate, current information. You are responsible for keeping your account details up to date.

You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at hello@vistwerk.com if you suspect unauthorised access.

You are responsible for the conduct of users you invite or authorise within your organisation, including the field personnel whose messages flow into your account.

4. Acceptable Use

You agree to use Vistwerk only for lawful purposes and in line with these Terms. In particular, you must not:

• upload or transmit content you have no right to share, or that infringes the rights of others;

• submit personal data about individuals without an appropriate legal basis and the necessary notices;

• attempt to disrupt, reverse-engineer, overload, or gain unauthorised access to the service or its infrastructure;

• use the service to build a competing product, or to train external models on data extracted from the platform without our written permission;

• misuse the AI features to generate unlawful, harmful, or deliberately misleading documentation.

We may suspend or limit access where we reasonably believe use violates these Terms or threatens the security or integrity of the service.

5. Customer Data and Ownership

As between you and us, you retain all rights in the data you submit to Vistwerk, including field messages, photographs, transcriptions, and the documents generated from them ("Customer Data").

You grant us a limited, non-exclusive licence to host, process, transcribe, analyse, and transform Customer Data solely to provide and maintain the service for you, and as instructed by you.

You are responsible for ensuring you have the rights and legal basis to submit Customer Data — including consent or notification of any individuals captured in voice recordings or photographs — and for the accuracy and legality of that data.

Where we process personal data within Customer Data on your behalf, we do so as a processor under a separate data-processing agreement, which forms part of these Terms.

6. Intellectual Property

The Vistwerk platform, including its software, design, branding, and documentation templates, is owned by Peakure or its licensors and is protected by intellectual-property law. These Terms do not transfer any ownership in the platform to you.

We grant you a limited, non-exclusive, non-transferable right to access and use the service during your subscription, solely for your internal business purposes.

You may not copy, modify, distribute, sell, or create derivative works from the platform except as expressly permitted by these Terms or by law.

7. Fees and Billing

Vistwerk is offered as a per-seat subscription. Fees, billing periods, and the number of seats are set out at sign-up or in your order, and payments are processed through our payment provider, Stripe.

Subscriptions renew automatically for successive periods unless cancelled before the end of the current period. You authorise us, through Stripe, to charge the applicable fees to your chosen payment method.

Unless stated otherwise or required by law, fees are non-refundable for periods already started. We may change pricing for future billing periods with reasonable advance notice; continued use after a price change takes effect constitutes acceptance.

Stated fees are exclusive of applicable taxes such as VAT, which will be added where required.

8. Confidentiality

Each party may receive confidential information from the other in connection with the service. Each party agrees to use the other's confidential information only to perform its obligations under these Terms and to protect it with reasonable care.

These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known, is independently developed, or must be disclosed by law — in which case the receiving party will, where permitted, give notice before disclosure.

We treat Customer Data as your confidential information and handle it in accordance with our Privacy Policy and data-processing agreement.

9. Warranties and Disclaimers

We will provide the service with reasonable skill and care. To the fullest extent permitted by law, however, the service is otherwise provided "as is" and "as available", without further warranties of any kind, whether express or implied.

Because Vistwerk uses AI to transcribe and structure content, outputs may contain errors, omissions, or misinterpretations. You are responsible for reviewing and verifying generated documentation before relying on it, particularly for compliance, billing, or regulatory purposes.

We do not warrant that the service will be uninterrupted, error-free, or that it will meet every specific requirement you may have. Nothing in these Terms excludes liability that cannot be excluded under mandatory German law.

10. Limitation of Liability

Nothing in these Terms limits liability for injury to life, body, or health, for damages caused by intent or gross negligence, or for any other liability that cannot be limited under mandatory German law.

For slight negligence, we are liable only for breach of an essential contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible and on which you may reasonably rely), and in that case our liability is limited to the foreseeable, typical damage.

Subject to the above, our total aggregate liability arising out of or related to the service in any twelve-month period is limited to the fees you paid for the service during that period.

We are not liable for indirect or consequential loss, loss of profit, or loss of data to the extent such limitation is permitted by law and our backup obligations remain unaffected.

11. Indemnity

You agree to indemnify and hold harmless Peakure and Vistwerk against reasonable claims, losses, and costs arising from your Customer Data, your breach of these Terms, or your unlawful use of the service — including claims by individuals whose data you submitted without an appropriate legal basis.

We will notify you of any such claim, allow you to participate in its defence, and not settle it in a way that imposes obligations on you without your consent. This clause applies only to the extent permitted by applicable law.

12. Term and Termination

These Terms apply for as long as you have an account or use the service. You may cancel your subscription at any time, effective at the end of the current billing period.

We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately where required to protect the service, other users, or to comply with law.

On termination, your right to use the service ends. We will make Customer Data available for export or arrange its deletion in accordance with our data-processing agreement, subject to any mandatory retention obligations. Provisions that by their nature should survive termination — such as confidentiality, IP, liability, and indemnity — will continue to apply.

13. Changes to These Terms

We may update these Terms to reflect changes to the service, our providers, or the law. The "last updated" date indicates the current version.

For material changes, we will give account holders reasonable advance notice by email or within the application. If you do not agree to the updated Terms, your remedy is to stop using the service before the changes take effect; continued use afterwards constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.

Where you are a consumer, mandatory consumer-protection provisions of your country of residence remain unaffected. For business customers, the courts at the operator's registered seat have jurisdiction to the extent permitted by law.
